Terms & Conditions

These Terms govern all orders, invoices, and deliveries between KI Fashion and its trade customers.

B2B Only. KI Fashion supplies trade customers (retailers and resellers) only. These Terms apply to all quotations, orders, invoices, and deliveries. Consumer law rights do not apply.

Application of Terms

KI Fashion will supply, and the Customer/Buyer will purchase, Goods and/or Services in accordance with any accepted quotation, order, or invoice and these Terms.
These Terms exclusively govern the Contract and prevail over any terms submitted by the Customer.

Definitions

"Business Day" means a day other than Saturday, Sunday or UK bank holiday.
"Commencement Date" means the invoice/order date.
"Confidential Information" means all non-public information disclosed by a Party in connection with the Contract.
"Contract" means the agreement for sale of Goods and/or supply of Services under these Terms.
"Contract Price" means the price payable as stated on the accepted invoice/order.
"Customer/Buyer" means the person or company whose order is accepted by KI Fashion.
"Delivery Date" means the estimated delivery date accepted by KI Fashion.
"Goods" means the goods supplied under the Contract (including parts and instalments).
"Services" means the services set out in the accepted invoice/order.
"Supplier" means KI Fashion.
References to writing include email; statutes include amendments; headings are for convenience; singular includes plural.

Basis of Sale & Service

No representation binds KI Fashion unless confirmed in writing.
No variation is effective unless confirmed in writing by both Parties.
Sales literature and price lists are not offers. A binding Contract arises on the earliest of: (a) written acceptance; (b) delivery of Goods; (c) provision of Services; or (d) issue of invoice.
KI Fashion may correct typographical or clerical errors without liability.

Goods

Orders are accepted only when confirmed in writing by KI Fashion.
Specifications are as per KI Fashion documentation unless a Customer variation is accepted in writing. Minimum units/multiples may apply.
Images and descriptions are provided as guidance only.
KI Fashion may adjust specifications to meet legal or safety requirements or for minor improvements.
Accepted orders may be cancelled only with KI Fashion's written consent; the Customer indemnifies KI Fashion for all resulting losses and costs.

Services

From the Commencement Date, KI Fashion will provide the Services identified in the accepted invoice/order in consideration of the Contract Price.
Services will be performed with reasonable care and skill.
Time is not of the essence for performance of Services.

Price

Prices are those on the accepted invoice/order or otherwise agreed in writing.
KI Fashion may increase prices before delivery to reflect factors beyond its control (foreign exchange, duties, labour, materials costs), Customer changes, or Customer delays.
Unless agreed otherwise, prices exclude packaging and transport.
Prices exclude VAT and other taxes or levies, which are payable by the Customer.

Payment

KI Fashion may invoice before delivery (or when Goods are ready for collection or upon failure to take delivery).
Payment is due immediately on acceptance of the invoice/order (net of agreed discounts or credits only). Time of payment is of the essence.
Payments must be made to the account shown on the invoice/order.
KI Fashion may refuse orders or further supply at its discretion.

Delivery & Performance

Delivery is to the UK location specified in the accepted invoice/order or collection from KI Fashion's premises once notified ready.
Delivery dates are estimates; time is not of the essence. Early delivery may occur with notice.
If the Customer fails to take delivery or provide instructions, risk passes and any storage or insurance costs become payable.
Services will be provided as per the accepted invoice/order.

Non-Delivery / Late Delivery

If delivery is delayed (other than due to force majeure or Customer/carrier fault): (a) subsequent delivery discharges KI Fashion's liability for delay; or (b) if the Customer notifies in writing within 7 Business Days after the Delivery Date and delivery still does not occur within 14 Business Days of that notice, the Customer may cancel the order — KI Fashion's liability is limited to crediting the invoice/order amount.

Risk & Title

Risk passes: (a) on collection when set aside or entrusted; or (b) on delivery (or tendered delivery if wrongly refused).
Title remains with KI Fashion until cleared payment in full for all amounts due.
Until title passes, Customer holds Goods as bailee and must store them separately, identifiable and insured.
Title terminates immediately if the Customer becomes insolvent or breaches these Terms; KI Fashion may repossess Goods.

Defective Goods

For material defects notified within 7 Business Days of delivery, KI Fashion will, at its option: (a) replace within 14 Business Days; or (b) credit the price of defective Goods.
Returns require prior written authorisation from KI Fashion.
No liability for defects arising from fair wear and tear, misuse, negligence, failure to follow instructions, or unauthorised alteration.
Except as stated, all other warranties and conditions are excluded to the fullest extent permitted for non-consumer sales.
The Customer is responsible for compliance with laws regarding use and resale and will indemnify KI Fashion for losses from non-compliance.

Customer Default & Insolvency

If the Customer fails to pay on time, KI Fashion may cancel or suspend deliveries and appropriate any payments to any outstanding invoices.
On breach or insolvency events (administration, liquidation, receivership, bankruptcy, cessation of business, or reasonable apprehension thereof), KI Fashion may cancel or suspend the Contract; all amounts become immediately due.

Liability

KI Fashion is not liable for loss of profit, loss of business, depletion of goodwill, or any indirect, special, or consequential loss.
All implied terms are excluded to the fullest extent permitted by law (save for title under s.12 Sale of Goods Act 1979).
Total aggregate liability is limited to the Contract Price.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

Confidentiality

Each Party will keep Confidential Information secure, use it only for the Contract, and not disclose it except as permitted.
Disclosure is permitted to personnel, sub-contractors, advisers, and authorities to the extent necessary, subject to confidentiality obligations, or where information is already in the public domain through no breach of these Terms.
This clause survives termination of the Contract.

Notices

Notices must be in writing.
Deemed delivery: courier on delivery during business hours; email on successful transmission; UK post on the 5th Business Day; airmail on the 10th Business Day.
Address notices to the latest notified contact details of the relevant Party.

Force Majeure

No liability for delay or failure caused by events beyond reasonable control, including power or ISP failure, industrial action, civil unrest, fire, flood, terrorism, war, government action, extreme weather, or similar events.

Waiver

No failure or delay by either Party to enforce any right under these Terms constitutes a waiver of that right.

Severance

If any provision of these Terms is found to be invalid or unenforceable, it will be severed and the remaining provisions will continue in full force and effect.

Third-Party Rights

No person other than the Parties has any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

Law & Jurisdiction

These Terms and any non-contractual matters arising from them are governed by the laws of England & Wales.
The courts of England & Wales have exclusive jurisdiction to settle any dispute arising from these Terms.

Security (Payments & Data)

Online payments are processed via TLS-encrypted secure gateways and PCI-compliant providers. We do not store full card details on our servers.
Personal data is handled in line with UK GDPR and the Data Protection Act 2018 and our Privacy Policy.

Intellectual Property

All site content — including images, designs, layout, text, and graphics — is owned by or licensed to KI Fashion and is protected by applicable intellectual property laws.
You may download or copy materials only to place orders with KI Fashion. No other reproduction, distribution, modification, or exploitation is permitted without prior written consent.

Colour Variance

Screen settings and display calibration vary between devices. While we aim for accurate product imagery, colour and finish may differ slightly from on-screen representation. This does not constitute a defect.

Pre-Orders

Orders are confirmed once payment is accepted.
Pre-order stock typically arrives within 7–10 working days from the date of listing (estimates only).
KI Fashion will notify customers when items arrive and are ready for dispatch or collection.
If you have not received an update after 10 working days from purchase, please contact us at info@kifashion.co.uk.
Mixed orders containing both in-stock and pre-order items will be held and shipped together unless separate orders are placed.

Use of KI Fashion Product Images

All images (including mannequin and model photos) on our website, social media, and associated platforms are the exclusive intellectual property of KI Fashion.
Permitted use: Verified customers who purchased the product from KI Fashion may use the corresponding images for resale or promotional purposes.
If offering pre-orders using our images, you must be an active customer and sourcing the product directly from KI Fashion.
Prohibited use: Any use by persons or businesses who have not purchased the product from KI Fashion is strictly prohibited and may result in takedown notices, legal action, and/or restriction of supply.
